Position Summary

Hypergate, LLC is seeking an experienced and commercially focused Chief Financial Officer (“CFO”) to lead the Company’s financial strategy, planning, controls, reporting, treasury, and risk-management functions as Hypergate executes and expands a portfolio of large-scale data center and infrastructure projects.

The CFO will serve as a key member of Hypergate’s executive leadership team and a strategic partner to the CEO and other senior executives. The position requires an individual who can operate effectively in a fast-growing, entrepreneurial environment while establishing the financial discipline, systems, controls, and reporting necessary to support projects involving significant capital commitments, complex contractual arrangements, rapid growth, and multiple counterparties.

The successful candidate should have substantial experience with project-based businesses, construction, EPC, infrastructure, data centers, energy, or other capital-intensive industries, and be comfortable working at both the strategic and operational levels.

Key Responsibilities

Financial Strategy and Executive Leadership

  • Serve as the principal financial advisor to the CEO and executive leadership team.
  • Develop and execute Hypergate’s overall financial strategy in support of the Company’s growth and project-development objectives.
  • Provide financial analysis and recommendations regarding major contracts, projects, investments, financing arrangements, strategic partnerships, and other significant business decisions.
  • Develop financial models evaluating project economics, profitability, cash requirements, return on investment, risk, and alternative business scenarios.
  • Participate in negotiations involving significant customers, contractors, suppliers, lenders, investors, and strategic partners.
  • Provide timely and practical financial guidance to management regarding material business and project risks.

Project Finance and EPC Financial Management

  • Establish and oversee financial controls and reporting for Hypergate’s large-scale EPC and data center projects.
  • Develop project budgets, cash-flow forecasts, cost-to-complete analyses, and profitability forecasts.
  • Monitor actual project performance against budgets, forecasts, schedules, and contractual payment milestones.
  • Establish processes for early identification and escalation of project cost overruns, margin deterioration, schedule-related financial exposure, and other adverse financial trends.
  • Work closely with project management, procurement, construction, legal, and commercial teams to understand and manage the financial implications of customer payment milestones; advance payments and deposits; long-lead equipment purchases; subcontractor and supplier commitments; change orders and claims; retainage; liquidated damages and other contractual exposures; performance and payment security; project close-out obligations; and warranty and contingent liabilities.
  • Develop appropriate project-level financial dashboards and reporting for senior management.

Treasury, Liquidity and Capital Management

  • Maintain primary responsibility for Hypergate’s cash management, liquidity planning, and treasury operations.
  • Develop short- and long-term cash-flow forecasts reflecting project commitments, customer receipts, vendor payments, capital expenditures, and corporate expenses.
  • Ensure that adequate liquidity is maintained to meet the Company’s operating and project obligations.
  • Develop and maintain banking, lending, and other financing relationships.
  • Evaluate and negotiate credit facilities, project financing, letters of credit, guarantees, bonding arrangements, and other financial instruments as required.
  • Establish appropriate controls over cash disbursements, bank accounts, signing authority, and movement of Company funds.
  • Advise management regarding working-capital requirements and appropriate capitalization of the business.

Accounting, Reporting and Controls

  • Oversee all accounting and financial reporting functions.
  • Ensure timely and accurate preparation of monthly, quarterly, and annual financial statements.
  • Establish appropriate accounting policies, procedures, internal controls, approval authorities, and financial governance.
  • Ensure proper revenue recognition and cost accounting for long-term and project-based contracts.
  • Maintain appropriate controls over accounts payable, accounts receivable, payroll, fixed assets, purchasing, and other financial processes.
  • Develop scalable financial systems and processes capable of supporting the Company’s anticipated growth.
  • Coordinate annual audits, reviews, and other financial examinations.
  • Ensure that financial records accurately reflect contractual obligations, commitments, contingencies, and project exposures.

Budgeting, Forecasting and Performance Management

  • Lead the Company’s annual budgeting and ongoing forecasting processes.
  • Establish meaningful financial and operational KPIs.
  • Provide management with regular reporting regarding revenue, backlog, gross margin, EBITDA, cash flow, working capital, project profitability, and other key financial measures.
  • Develop rolling forecasts and scenario analyses to allow management to anticipate changing capital and liquidity requirements.
  • Identify deviations from plan and work with responsible executives to develop corrective actions.

Tax and Regulatory Compliance

  • Oversee federal, state, and local tax compliance and tax planning.
  • Coordinate with outside tax advisors regarding income, franchise, sales and use, payroll, property, and other applicable taxes.
  • Ensure appropriate tax treatment of equipment, construction services, professional services, and other project expenditures across applicable jurisdictions.
  • Support compliance with state and local registrations, reporting requirements, and other financial regulatory obligations.

Risk Management and Insurance

  • Work closely with legal and operational leadership to identify and manage material financial and contractual risks.
  • Quantify potential financial exposure arising from contractual indemnities, guarantees, liquidated damages, warranty obligations, project delays, and other contingent liabilities.
  • Establish processes for ensuring that significant financial commitments receive appropriate executive review and approval.

Banking, Investors and External Relationships

  • Serve as a primary financial contact with banks, lenders, investors, auditors, tax advisors, insurance professionals, and other financial stakeholders.
  • Prepare financial information and presentations required by lenders, investors, customers, and strategic partners.
  • Support capital-raising activities and financial due diligence.
  • Ensure that external financial representations concerning the Company and its projects are accurate, supportable, and appropriately controlled.

Team and Organizational Development

  • Build and lead a finance and accounting organization appropriate for Hypergate’s size and growth trajectory.
  • Establish clear responsibilities, approval authorities, segregation of duties, and accountability within the finance organization.
  • Evaluate and implement appropriate ERP, accounting, project-cost, treasury, and financial-reporting systems.
  • Develop a culture of financial discipline while maintaining the responsiveness and speed required in a rapidly growing organization.

Qualifications

  • Bachelor’s degree in Accounting, Finance, Business Administration, Economics, or a related discipline required.
  • CPA, MBA, or other advanced financial qualification strongly preferred.
  • Significant senior financial leadership experience, preferably including experience as a CFO, divisional CFO, VP Finance, or similar senior position.
  • Demonstrated experience in EPC, construction, data centers, infrastructure, energy, engineering, manufacturing, or another project- and capital-intensive industry strongly preferred.
  • Experience managing the financial aspects of large, complex projects with significant customer and supplier commitments.
  • Strong knowledge of project accounting, cost-to-complete forecasting, cash-flow management, working capital, and long-term contract accounting.
  • Experience with debt facilities, project financing, banking relationships, letters of credit, bonding, or other financial security arrangements.
  • Strong understanding of internal controls, financial reporting, audit, tax, and corporate governance.
  • Experience building or scaling finance functions, systems, and processes in a rapidly growing organization.
  • Demonstrated ability to work effectively with CEOs, owners, investors, lenders, lawyers, project executives, engineers, procurement teams, and other senior stakeholders.

  • Scalable: capable of building the financial infrastructure required to support Hypergate as the Company and its project portfolio grow.

  • Providing the CEO and executive team with clear, actionable financial information to support business decisions.

Compensation

Hypergate will offer a competitive executive compensation package commensurate with experience and qualifications, which may include base salary, performance-based incentive compensation, and participation in long-term incentive or equity arrangements, as determined by the Company.
